Terms & Conditions - Web Design

Agreement

These Terms & Conditions form the agreement between Rachel Quagliani – Photography & Design (“the Designer”) & the Client engaging her Web Design services. By commissioning any design services, the Client agrees to be bound by these Terms & Conditions. These may be updated at any time, with or without notice. Continued use of services implies acceptance of the most current version.

Scope of Work

The Designer agrees to provide the Client with web design services as outlined in a written project proposal or package, or as stipulated in the issued quote or invoice. This may include but is not limited to:

  • Website Design & Development

  • SEO Setup

  • Website Launch Support

  • Maintenance or Edits (where specified)

Any additional work beyond the agreed scope will require a revised quote or additional charges.

Booking & Payment

A non-refundable 50% deposit is required to secure your booking & commence work. The remaining balance is due prior to website launch, or within 30 days of project commencement - whichever comes first. Payment plans may be offered at the Designer’s discretion. Late payments may incur a fee or delay the project timeline. Non-payment may result in the website being made inactive until payment is received. Any third-party costs (such as platform plans, domain registration, hosting, plugin licenses or premium fonts) are the responsibility of the Client unless otherwise stated.

Cancellations & Refunds

Cancellations made before work has commenced will forfeit the deposit. If the project is cancelled after work has begun, payment will be required for work completed up to the point of cancellation. No refunds will be issued after the final design has been approved or the site has gone live.

Content & Client Responsibilities

The Client agrees to provide all required content - including images, text, branding assets & login credentials - within the agreed time-frame. Delays in providing materials may affect the project timeline. The Designer is not responsible for the quality or legality of any content provided by the Client. All content must be owned or properly licensed by the Client.

Design Revisions

The project includes an agreed-upon number of revisions as outlined in the invoice. Additional revision rounds may incur an additional fee. Delayed feedback on revisions may result in project delays or scheduling adjustments.

Approval & Launch

Once the final version of the website is approved, the remaining balance is due prior to the launch. Approval of the final version signifies acceptance of the website “as is” & any future updates or changes will be quoted separately.

Intellectual Property & Copyright

The Designer retains ownership of all design elements & code until full payment has been received. Upon final payment, the Client is granted a non-exclusive, non-transferable license to use the website for its intended purpose. The Designer reserves the right to display the finished website & associated design elements in her portfolio, on social media or for promotional purposes.

Prohibited Uses & AI Restrictions

The Client agrees not to submit, upload or use any content, design files or website visuals created by Rachel Quagliani – Photography & Design with artificial intelligence (AI) platforms, tools or software for the purpose of editing, enhancement or training.

This includes but is not limited to:

  • AI image generation or manipulation

  • Automated design duplication

  • Training data for machine learning models

Any breach of this clause may result in immediate termination of the agreement, revocation of usage rights & legal or financial penalties.

Browser & Device Compatibility

Websites are built to be responsive & function on the latest versions of major browsers (Chrome, Firefox, Safari, Edge) & standard mobile devices. The Designer is not responsible for compatibility with outdated browsers or unusual third-party systems unless explicitly agreed upon.

Post-Launch Support & Maintenance

Post-launch support includes complimentary minor updates & troubleshooting for the number of days stipulated in the invoice. Ongoing website maintenance, updates or technical support can be provided under a separate Website Maintenance Plan or hourly rate.

Limitation of Liability

The Designer will perform services with reasonable skill & care. However, she shall not be liable for:

  • Website downtime due to third-party services (hosting, domain, plugins)

  • Loss of data due to user actions, hacking or malware

  • Delays caused by the Client’s failure to provide materials or approvals

In any event, the Designer’s total liability is limited to the amount paid by the Client for the services rendered.

Termination of Agreement

Either party may terminate this agreement in writing if the other party breaches any material term & fails to remedy the breach within 14 days. All payments due at the time of termination must be paid in full.
