Terms & Conditions - Graphic Design

Agreement
These Terms & Conditions form the agreement between Rachel Quagliani – Photography & Design (“the Designer”) & the Client engaging her Graphic Design services. By commissioning any design services, the Client agrees to be bound by these Terms & Conditions. These may be updated at any time, with or without notice. Continued use of services implies acceptance of the most current version.
Scope of Work
The Designer agrees to provide the Client with graphic design services as outlined in a written proposal, service package or as stated in the issued quote or invoice. Services may include but are not limited to:
Branding & Logo Design
Marketing Collateral (flyers, brochures, posters, etc.)
Social Media Graphics
Business Cards & Stationery
Custom Illustrations
Packaging Design
Label Design
Vehicle Wrap Design
Brochure Design
Any additional services beyond the agreed scope will require a new quote & may incur additional charges.
Booking & Payment
A non-refundable 50% deposit is required to confirm your booking & commence work. The remaining balance is due upon final approval of the project files, or within 30 days of the project start date - whichever comes first. Payment plans may be offered at the Designer’s discretion. Late payments may result in delays delivering the project or incur additional fees. Final artwork will not be delivered until the full balance is paid. Any third-party costs (e.g., stock imagery, printing, fonts) are the responsibility of the Client unless otherwise stated in writing.
Cancellations & Refunds
Cancellations made before design work has started will forfeit the deposit. If the project is cancelled after work has commenced, the Client will be charged for all completed work to date. No refunds will be issued once final designs have been approved or delivered.
Client Responsibilities
The Client agrees to provide all necessary content & materials (e.g., copy, logos, branding guidelines, images) in a timely manner. Delays in supplying content may affect the project timeline.
The Designer is not responsible for:
Delays due to missing or incomplete information
The legality or copyright status of materials provided by the Client
Quality issues caused by low-resolution or unlicensed content
All materials submitted must be owned or properly licensed by the Client.
Design Revisions
The project includes a specified number of revision rounds, as stated in the quote or invoice. Additional revision rounds will incur a fee. Feedback must be provided within agreed time-frames to avoid delays or schedule changes.
Approval & Delivery
Once final artwork is approved, the remaining balance is due. Approval of final designs constitutes acceptance of the work “as is.” Any future updates, alterations or file conversions will be billed separately. Final files will be delivered in agreed-upon formats (e.g., PDF, PNG, EPS) & source files can be provided upon request, depending on the package selected.
Intellectual Property & Copyright
The Designer retains ownership of all original artwork & working files until full payment is received. Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the final design for its intended purpose. The Designer reserves the right to showcase completed designs in her portfolio, on social media or for promotional purposes.
Prohibited Uses & AI Restrictions
The Client agrees not to upload, edit, reproduce or use any visual content created by Rachel Quagliani – Photography & Design with artificial intelligence (AI) platforms or software for any purpose, including:
AI image generation, modification or enhancement
Automated duplication or manipulation of design work
Use of designs in datasets or machine learning models
Any other use involving AI
Breach of this clause may result in immediate termination of the agreement & revocation of design usage rights.
Print & Colour Disclaimer
Due to variations in screen calibration & printer settings, printed colours may differ slightly from on-screen versions. The Designer is not responsible for discrepancies in final print colours, especially when using third-party printers. Print setup (bleeds, margins, colour profiles) will be handled professionally, but print proofing & final approval are the responsibility of the Client.
Limitation of Liability
The Designer will provide services with reasonable care & professional standards. However, she will not be held liable for:
Loss or damages resulting from delays caused by the Client
Printing or production issues with third-party providers
Misuse or unauthorised editing of the final design
Legal issues related to unlicensed content provided by the Client
Design issues that arise after the Client has approved the design
In all cases, the Designer’s total liability is limited to the amount paid by the Client for the specific project.
Termination of Agreement
Either party may terminate this agreement in writing if the other party breaches any material term & fails to remedy the breach within 14 days. All work completed to date must be paid in full upon termination.
